Studi Web srl sells customized cardboard products through the service "http://www.qrcardboard.com/".

1. Object

1.1. These general conditions of sale shall apply to the purchase of "QR Cardboard" branded products (hereinafter “Product") that will be made through the e-commerce website http://www.qrcardboard.com (hereinafter “Website ") by users qualified as “Consumers".

The ownership of the website is of Studi Web srl, legal and operational headquarters: Contrada Monopoli, 3 70013 - Castellana Grotte (BA) - Italy (hereinafter “Owner").

1.2. Each purchase is governed by these general conditions of sale in the version published on the Website at the time of transmission of the order placed by the Consumer.

1.3. At the time of transmission of the purchase order, the Consumer accepts that the confirmation of the information relevant to the order placed and these general conditions of sale are sent to the e-mail address declared by the same during the purchase process.

2. Characteristics of the Products and availability in different geographical areas

2.1. The Products are sold with the characteristics described on the Website and in accordance with the general conditions of sale published on the Website when the Consumer places the order, to the exclusion of any other terms or condition.

2.2. The Seller reserves the right to amend these general conditions of sale at any time, at his discretion, without being liable to provide any notice to Website users. Any amendments will be effective after the date of publication on the Website and will be applicable exclusively to the sales made since that date.

2.3. The prices, the Products for sale on the Website and their characteristics are subject to change without notice. Before transmitting the purchase order pursuant to point 3, the Consumer is invited to check the final sales price.

2.4 Users worldwide can login the Website which may contain references to Products which are not available or cannot be purchased in the country of the Website’s visitor.

2.5 The Products available on the Website can be purchased exclusively by users who request delivery, in the specific section of Website, in one of the Countries listed on the Website.

3. Purchase Order

3.1. The purchase order, transmitted by the Consumer to the Seller through the Website, is valid as contract proposal and is governed by these general conditions of sale, which form an integral part of the order itself and that the Consumer, by means of transmitting the order to the Seller, must accept in its entirety without any type of reserve. Before purchasing the Products by sending your purchase order, you will be asked to carefully read these general conditions of sale and the report on the right of withdrawal. Moreover, you will be asked to identify and correct any input errors.

3.2. The purchase order of the Consumer is accepted by the Seller with the transmission of an e-mail confirming the order to the Consumer (at the e-mail address given by the latter at the time of transmission of the order), which will contain the link to the text of these general conditions of sale, the order number, the summary of the order and description of the characteristics of the Product ordered. The Consumer order, the confirmation of the order by the Seller and the general conditions of sale applicable to the relationship between the Parties shall be electronically archived by the Seller on his computers and the Consumer can request a copy of the same by sending a communication to the Seller at the following e-mail address: info@qrcardboard.com.

3.3 Each product purchase contract is concluded at the moment when the consumer receives the order confirmation from the Seller via e-mail.

Procedure to select and purchase the Products

The Products presented on the Website can be purchased only through the purchase procedure available on the Website or by other means to be agreed with telephone support or by contacting the chat. This procedure foresees the selection of the Products that the Consumer intends to purchase, by placing them inside the specific virtual shopping cart. Once the selection of Products in the cart is concluded, in order to purchase the Products, the Consumer will be asked to provide his personal data in order to complete the order and stipulate the agreement. In order to make a purchase, the Consumer will be prompted to confirm his data, as well as the address for the delivery of the selected Products, billing address and an e-mail for communications relevant to the purchase made. The Consumer will visualize a summary of the order to place, where he can modify the contents; therefore, the Consumer, after reading them carefully, shall explicitly approve these general conditions of sale. Should the Consumer select immediate payment (upon purchase) through PayPal, he shall notify the requested data through secured connection. For accounting and administrative reasons, the Seller reserves the right to check the information provided by the Consumer. Should the payment be issued by credit card, the purchase amount will be exclusively charged upon transmission of the order confirmation by the Seller to the Consumer.

5. Purchase with distorted final price due to technical problems

5.1. Case where the purchase order is not completed: If during the selecting procedure of Products on the Website referred to in point 4.1 above, you find that the price of one or more Products you intend to select for the subsequent purchase is clearly lower than that normally applied (net of any discounts and / or promotions in force at that time) due to an obvious technical problem which occurred on the Website, please do not complete your purchase order and report the above technical error to the customer service of the Seller, by sending an e-mail to the e-mail address info@qrcardboard.com.

5.2. Case where the consumer has completed the purchase order in which a Product whose price is clearly lower than that normally applied (net of any discounts and / or promotions in force at that time) has been included due to an obvious technical problem occurred on the Website: (a) if the same Consumer has not received the Product, the Seller will (i) cancel the order, whose delivery will therefore not be carried out, by sending at the same time a communication in this regard at the e-mail address indicated by the Consumer during the order transmission and (ii) reimburse the Consumer for the payments made by the latter in relation to the order cancelled, including delivery costs. (b) if the Consumer has received the Product, the Seller shall promptly notify the Consumer via e-mail of the error occurred during the completion process of the order, thus offering an alternative to (i) pay to the Seller the amount corresponding to the difference between correct and incorrect price of the Product resulting from the purchase order, no later than the next 5 (five) days, using one of the payment methods available on the Website, or (ii) cancel the order by following the instructions contained in the same communication and return the Product undamaged, complete with all of its elements and accessories, along with the instructions / notes / manuals, with the original packaging and accompanied by the return form to the Seller, at the expense of the latter, no later than the next fourteen (14) days, by sending it to Studi Web srl Contrada Monopoli, 3 Castellana Grotte (BA) 70013 Italy. In the event that the Consumer has chosen the option in point (ii), the Vendor will refund the Consumer the payments made by the same in relation to the order cancelled, including delivery costs .

6. Delivery and acceptance

6.1. Generally the Website indicates the availability of Products and the delivery times of the same, nevertheless, such information is to be deemed as purely indicative and not binding for the Seller.

6.2. The Seller agrees to take any possible measure to respect the delivery times indicated on the Website. In case of failure of the Seller to execute an order, due to non availability of the Product, the Seller will notify the Consumer in writing about the delivery times, if the Consumer does not agree to these timings, the Seller shall refund any amounts already paid by the Consumer for the Product.

6.3. The shipment of the Products ordered by the Consumer shall occur in compliance to the conditions selected by the Consumer, among those available and indicated on the Website at the time when sending the order. The Consumer agrees to check with no delay, and in any case no later than three (3) days from the receipt of the Products, that the delivery is correct and includes all and only the Products purchased and to inform the Seller within said term of any possible defect of the Products received or differences compared to the order made according to the procedure referred to in (see procedure of defective product) of these general conditions of sale.

6.4. Once the term pursuant to the previous paragraph 6.3. has expired, without the Consumer formulating any objections towards the carrier/ shipper, the delivered Products will be deemed finally accepted by the Consumer.

7. Prices, shipping costs, taxes and duties

7.1. The Product price is the one indicated on the Website when the Consumer transmits the order. The Product prices published on the Website include standard packaging costs, VAT and any other taxes (if applicable), while they do not include shipping fees which are calculated before the order confirmation transmitted by the Seller to the Consumer, which the latter agrees to pay to the Seller in addition to the price published on the Website.

7.2. Based on the country in which the Products shall be shipped, the relative shipping costs will be displayed on the Website when placing the order, which the Consumer agrees to pay in addition to the price of the ordered Products.

7.3. The Consumer shall pay the total price to the Seller as indicated in the order confirmed through the order confirmation sent by the Seller to the Consumer via email.

7.4. Should the Products be delivered in a country not belonging to the European Union, the total price indicated in the order and confirmed in the order confirmation including indirect taxes (if applicable) does not include potential custom fees and any other fees on sale that the Consumers agrees since now to pay if due, in addition to the price indicated in the order and confirmed through the order confirmation, according to laws applicable in the country where the products will be delivered. The Consumer is invited to obtain information from competent bodies in his home country or product destination country, concerning potential duties or taxes applicable in his home country or product destination country.

7.5. The Consumer is responsible for any additional cost, fee, tax and/or duty that a certain country may apply to the ordered Products at any title, based on these general conditions of sale.

7.6. The Consumer declares that, should he not be aware of costs, fees, duties, taxies and/or levies as mentioned above, when transmitting the order to the Seller, this will not constitute cause for terminating the agreement and said fees will not be charged to the Seller.

8. Payments

8.1. The payment of the price for the Products purchased through the Website will be made currently with the order through the payment methods indicated on the Website.

8.2. Payment can be issued with credit card or PayPal, at the conditions described below. The Seller may allow additional payment methods, indicating them in the Website’s payment section.

8.3. Should payment be issued through PayPal or other credit card, the Consumer will be transferred to a secured site. The data will be transmitted in secured mode, through encrypted data transfer using SSL System (Secure Socket Layer). This information is not accessible, not even by the Seller.

8.4. The Seller will promptly transmit the tax receipt concerning the purchase made to the Consumer, in electronic format via email at the address indicated by the latter.

9. Warranty and liability in case of damages due to faulty products

9.1. The Products sold are guaranteed only for the use for which they are intended. Any defect or deterioration of the product due to misuse of the same or caused by external agents, or by product changes not foreseen by the manufacturer, releases Studi Web srl from any liability. The Consumer declares and guarantees that the messages used for the customization do not contain personal or intellectual property rights of third parties. As such, the Consumer guarantees the Seller against any action, claim or any legal actions brought by all persons who may consider themselves damaged by the printing and the customization requested by the Buyer. This guarantee will be applied to all damages, costs, expenses and fees that may arise.

9.2. Pursuant and in compliance to the European Directive 44/99 / EC and of the Italian Legislative Decree n. 206/2005 (Consumer Code), the Seller guarantees to the Consumer, that the Products will be free of design and material defects, and compliant with the descriptions published on the Website.

9.3. With regards to potential damages caused by faulty Products, the provisions set forth by European Directive 85/374/EEC and Italian Legislative Decree no. 206/2005 (Consumer code) will be applied. The Seller, in his quality of product distributor through the Website, will be relieved from any liability, none excluded and/or excepted, indicating the name of the relative product manufacturer.

10. Health warning for the use of QR Cardboard devices

We recommend using the virtual reality viewer "QR Cardboard" with moderation. Avoid prolonged use of the viewer, take regular breaks of approximately fifteen minutes per hour of virtual experience. However, the length and frequency of these breaks varies from person to person: particular attention to the use is requested to people suffering from ametropia and / or eye diseases. Immediately stop using it if you experience dizziness, nausea, fatigue or headache. Individuals who are sensitive to flashing lights or to particular shapes or geometric configurations may suffer from a form of undiagnosed epilepsy and be subject to seizures during the virtual view. If you are susceptible to epileptic seizures, please consult your doctor before using the viewer. Contact him immediately if you experience one or more of the following symptoms while playing: changes in vision, muscle twitching, other involuntary movements, loss of awareness, mental confusion and / or convulsions. Use is not recommended for children under 14 years.

11. Improper use

The "QR Cardboard" viewer must not be used for any purposes other than originally intended. Wearing the viewer (for example, using it as glasses) can cause visual impairments.

Do not place the viewer under the direct sunlight or sources close to fire and water.

The viewer lenses can be cleaned with non-woven felt, make sure that the cloth is free of dust and foreign matter before cleaning. We do not recommend cleaning the lenses with chemicals because they may cause malfunction or damage to the lenses.

Do not put pressure on the viewer such as dropping from height or bending. The product could be damaged and be unable to function.

We recommend displaying virtual images in safe places. Never place objects or other fragile items in the surroundings.

n.b.: Some videos may prompt the viewer to move away because of fear and consequently he could be injured by possible breakage of objects placed nearby.

12. Withdrawal right – Disclosure

12.1 The Consumer is entitled to withdraw from any agreement concluded according to these general conditions of sale, without any penalty, within 14 (fourteen) days after (i) the product has been delivered, or (ii) in case more products are purchased by the Consumer in one order but are delivered separately, when the last product has been delivered.

The right of withdrawal on the Customized Products follows the rules provided for in point 19.

12.2 To exercise the right of withdrawal, the Consumer shall inform the Seller of his decision before the expiry of the deadline referred to in point 10.1 by sending an email to info@qrcardboard.com and entering the order number and e-mail by which he made the purchase.

12.3 As a result of the provisions in point 10.2 the Consumer will receive a confirmation email for the exercise of withdrawal and the instructions for returning the product, which should be sent to the Seller no later than the next fourteen (14) days.

12.4 If the Consumer has received the product, he is required to return it to the Seller, without undue delay and in any event no later than 14 days from the day he announced the withdrawal. The deadline is met if the Consumer sends back the goods before the period of the 14 day has expired. The risk and direct costs of returning the goods shall be borne by the Consumer.

12.5 Should the Consumer withdraw, the sums paid will be refunded, without undue delay and in any event no later than 14 days from receipt of the return. We will carry out such reimbursement using the same means of payment as the Consumer used for the initial transaction, unless the Consumer does not require reimbursement through different means of payment, in this case any additional costs arising from the different means of payment shall be borne by the Consumer.

13. Intellectual Property Rights

13.1. The Consumer declares to be aware that any trademarks, names, as well as any distinctive mark, company name, image, photograph, written text or graphics used on the Website or relating to the Products are and will remain the exclusive property of the Seller and / or its assignees; access to the Website and/or the purchase of Products will not confer any right on the above, to the Consumer.

13.2. The Website contents cannot be reproduced, whether in whole or in part, transferred with electronic or traditional means, modified or used at any title, without the previous written approval of the Owner.

14. Consumer’s data and protection of privacy

14.1. In order to register, transmit the order and therefore stipulate this agreement, certain personal information is requested from the Consumer through the Website. The Consumer acknowledges that the personal data he provides, will be processed by the Seller in quality of Data Controller, in compliance with the provisions set forth by Italian Legislative Decree no. 196/2003 and subsequent amendments and integrations - Privacy Code, in order to process each purchase made through the Website, and upon his consent, for additional activities as indicated in the relative privacy policy provided to the Consumer through the Website upon registration.

14.2. The Consumer declares and guarantees that the information given to the Seller upon the registration and purchase process is correct and truthful.

14.3. For any additional information regarding the processing methods of the Consumer’s personal data, please see the Privacy Policy section and carefully read the General Conditions of Use.

15. Security of personal data

15.1. Despite the Seller adopts measures aimed at protecting personal data against loss, falsification, manipulation and improper use by third parties, due to the characteristics and technical limits in protecting electronic communications via internet, the Seller cannot guarantee that the information or data visualized by the Consumer on the Website cannot be accessed or viewed by non-authorized third parties.

15.2. With regards to data concerning payments made with credit card, the Seller avails himself of services provided by PayPal, which adopts technological systems aimed at ensuring utmost reliability, security, protection and privacy when transmitting information via web.

16. Non-fulfillment of the Seller for unforeseeable circumstances and Force Majeure

The Seller will not be deemed liable in case of total or partial insolvency of his obligations in force of any agreement stipulated according to these general sales conditions, when said insolvency is caused by unforeseeable and/or natural events outside his reasonable control, including for example and not limited to, catastrophic natural events, acts of terrorism, wars, popular rising, lack of electric energy, general strike of public and/or private workers, strike and/or restrictions concerning carrier's routes and airplane connections.

17. Applicable law

Each sales agreement stipulated between Seller and Consumers pursuant to these general conditions of sale will be regulated and interpreted according to Italian laws.

18. Transfer

The Parties cannot sale neither transfer any of their rights and obligations derived from these general conditions of sale to third parties, without the previous written approval of the other party.

19. Technical and production discrepancies

In the performance of the agreement, the Seller explicitly reserves the possibility that the products show minor differences concerning the characteristics of the material, color, weight, measurement, the manufacture and similar aspects with respect to the descriptions and indications of prospectuses, catalogues, or other written or electronic documents, provided that they are within the acceptable limits for the Consumer. Reasonable grounds may be determined from the typical market fluctuations and manufacturing processes.

20. Customization Service

The Consumer will be given all the support by the company that provides the service, with a support dedicated to the realization of the chosen solution. The agency Studi Web srl provides practical support in terms of execution of the order customizations, with a team of professionals always available to develop a product that meets the expressed demands. Following the receipt of the order, the agency will contact the consumer to agree on how to customize the goods. The Consumer will receive the goods, only after approving the customization graphic project. Any change or support request can be made by e-mail to info@qrcardboard.com.

The Consumer shall ensure Studi Web srl that the reasons given by him or that any changes made to the product (customized texts) do not infringe on any third party rights. All violations of copyright, personality or name rights fall under the full responsibility of the Consumer. The Consumer also ensures that the customization of the product will not infringe other third party rights.

If the consumer is responsible for the violation of third party rights, he shall release the Studi Web srl from all claims and demands arising therefrom. The consumer shall indemnify the Studi Web srl for all defense costs and any other damages.

The use of the Customization service of QR CardBoard constitutes acceptance of the following assumption of responsibility by the consumer:

  • The consumer is solely responsible for the realization of personalized items ordered by him and on his behalf made by the Studi Web srl, and indemnifies the Studi Web srl, from any liability arising from the manufacturing and marketing of articles ordered by him.

In particular, the consumer is fully responsible, in front of Studi Web srl and third parties, in case of manufacturing and marketing of articles containing material:

  • protected by Copyright or other intellectual property rights,
  • obscene and defamatory,
  • which in any case could offend or damage third parties.

21. Withdrawal right for Customized Product

It is not possible to make returns or refunds due to rethinking about the purchase or type of customization required, since the right of withdrawal does not apply on the personalized items (Art. 5 paragraph 3 letter c of the Legislative Decree no. 185 of 22nd May 1999).
